NOIRMOPlatform Terms

1. Scope and acceptance

These terms apply to the NOIRMO website, member tools, music previews, work pages, licensing enquiries, custom music, musician applications and catalogue management. By using those services, you agree to these terms. A work-specific licence, quote or commission agreement prevails where it is more specific.

2. Services and current availability

NOIRMO provides original music and instrumental discovery, previews, saved works, member services, musician applications, upload management, licensing information, commissions and manual contact workflows. Production checkout, automatic post-payment licensing and paid downloads are not currently enabled.

3. Accounts, age and security

Provide accurate contact information and protect passwords, sign-in links and devices. Users under 18 should use data submission, musician, commission or payment features with a legal representative. Impersonation, misleading accounts and account transfers used to bypass review are prohibited.

4. Previews, downloads and licence formation

Streaming or saving a work does not grant reproduction, distribution, public transmission, performance, adaptation, synchronisation, advertising or other commercial rights. A licence is formed only when the relevant work, use, media, term, territory, project and fee are confirmed in a durable record issued or accepted by NOIRMO or the rights holder.

5. Orders, payments, cancellation and digital content

When payments launch, NOIRMO will show the price, taxes, licence scope, delivery, timing, cancellation and refund conditions before an order is placed. For intangible digital content or an immediately completed online service, any statutory cancellation exception will be relied on only after clear notice and the customer’s prior consent. Mandatory consumer law always prevails.

6. Musician applications, uploads and rights warranties

Musicians must accurately identify contributors, composition and recording rights, licences, source materials, AI use and supporting evidence. They warrant that submitted material does not infringe copyright, trade marks, publicity, privacy, confidential information or other third-party rights and that NOIRMO may use it as necessary to review, display, preview, promote and administer licences. Ownership remains with the relevant rights holder unless separately transferred in writing.

7. AI use and disclosure

Generative AI, synthetic voice, AI-assisted writing or composition and AI artwork must be disclosed through the available fields. Users must not imitate or impersonate an identifiable person, performer or rights holder, or submit material without a lawful rights basis. Content generated entirely by AI without verifiable lawful rights may be rejected or removed.

8. Review, publishing, takedown and appeal

Musician approval does not guarantee approval of every work. NOIRMO may listen, review metadata, request evidence and temporarily restrict or remove content that may infringe rights, mislead users, contain false information, fail quality requirements or breach law or policy. Submitters may provide an explanation or appeal; urgent rights risks may be restricted first and reviewed afterwards.

9. Prohibited conduct

Do not extract, copy, resell, re-upload, rename, sublicense, bypass player or download controls, disrupt the service, probe security, scrape at scale, distribute malware or use NOIRMO works, voices, images or musician data for unauthorised AI training, voice cloning, deepfakes, fraud, unlawful or harmful purposes.

10. Intellectual property and brand

NOIRMO’s name, marks, interface, text, code, arrangement and original platform assets remain protected. Music and artwork may have separate rights holders, and a licence does not automatically include name, image, trade mark, performance, master, composition, collecting-society or other rights unless expressly stated.

11. Service changes and account action

NOIRMO may change, pause or end features for maintenance, security, rights disputes, law, third-party outages or operations. Material or repeated breaches may result in restricted uploads, suspended works, loss of musician status or account termination. Existing licences remain governed by their own records.

12. Responsibility and mandatory rights

NOIRMO uses reasonable care but cannot guarantee uninterrupted networks, devices or third-party services. Users remain responsible for confirming the full rights and rules required by their project. Nothing in these terms excludes liability or consumer rights that cannot lawfully be excluded.

13. Updates, governing law and contact

NOIRMO may update these terms as services, payments, licensing or law change. Taiwan law governs. The parties should first try to resolve disputes in good faith; where legally permitted, the Taipei District Court is the court of first instance, subject to mandatory consumer or jurisdiction rules.

14. Seven-day refund guarantee and consumer rights

NOIRMO offers a 7-day refund guarantee. Within 7 calendar days after payment is completed, you may request a refund if the licensed files have not been downloaded and the licence has not been activated or actually used. Refund requests may also be made for duplicate charges, a charge resulting from a failed payment, or failure to provide the service as agreed.

Once digital content or a licence has been downloaded, activated, or actually used, refunds may be limited according to applicable law, the nature of the transaction, and the applicable licence terms. This 7-day guarantee is a NOIRMO transaction protection and does not limit cancellation, refund, defect-remedy, or other consumer rights that cannot lawfully be excluded.
